Take My Company Public – Taking Your Business Public – Enough Goofing Around

Tuesday, July 13th, 2010

When it’s the right time to go public and you’ve looked at the pros and cons from all angles, it’s time to move forward and structure the company so that you can have a corporation worthy of investment dollars. First look at your company structure.

Do you have a well pedigreed and economically seasoned CEO, CFO and COO? Is your board of directors composed of the best of the best that your industry has to offer? Do you have a secondary board of advisors to pick up the slack where needed? Do you have strategic alliances in place to make expansion easier via distribution access, cross promotion and other necessary processes that you’ll need in a post public setting?

What mechanism will you use to distribute shares for your pre public raise? Is your business plan a powerful, ultra effective strategy or is it a boilerplate template that every funding source has seen a dozen times before?

Next, have you brought on a consultant to analyze your company and check for leaks, perform a valuation and start the process of going public? Don’t be shortsighted by trying to do this on your own or listening to the wrong people. Unless you have a professional onboard to navigate you through the process of preparing and completing the going public process you’ll be doomed from the start.

Don’t look at getting a trading symbol from FINRA as the finish line as this is just the beginning of the battle. You need a presents now more than ever. Your consultant will help you identify PR and expansion worthy mergers and acquisitions while simultaneously strategizing with investor relations agencies for the most impact at the best price.

Going public and achieving a symbol is the beginning of a whole new set of opportunities to grow your company in ways that you could never have imagined but it’s also a massive responsibility that can sink your company faster than quicksand. Be prepared for the process. Hire a consultant and place the best people in positions around you and you’ll be able to move forward with the wind at your back.

OTCBB To NASDAQ – Stay Public – Over The Counter Bulletin Board

Tuesday, July 13th, 2010

Investor relations services: how to truly dominate the public market. If you have a public company or are in the process of taking your company public on the OTCBB or any other reputable exchange the reader must realize that going public is the easy part, having a successful public offering and preserving the longevity of your public entity is another topic all together. As a corporate strategies and public offering facilitator our firm is often called in after a company has a disastrous public offering or they’ve teamed up with the wrong service solutions that pump and dump their equity positions.

Here is the problem that most companies make when they are going public: companies don’t budget properly for general corporate publicity or solid investor relations strategies for the first year that their company is public. Investor relations and publicity stock promotion activity should be at the forefront of every public CEO’s mind.

If you are signing a large contract, publicize it with press releases, viral promotion and TV and radio expert panel discussions. When we take on a company for serious investor relations our campaigns are obviously completely customized but here is the skeletal structure of a prototypical campaign: strong viral publicity strategy consisting of video, article and press release submission, social and news book marking, logo and image posts and after this information has assimilated we get the client on prominent TV expert panel discussions with their name, company name and stock symbol on the screen.

Lastly, we then run two simultaneous 30 day stock promotion intensives with a massive injection of investor promotional concepts on both sides each day which consist of newsletters and stock alerts to ultra-active investors and other strategies daily.

The important thing to remember is that the above must happen monthly for the first six months to a year in order for your company to successfully trade. There is no other way around it, you must budget for your investor relations campaigns or your venture simply will not work.

IPO Consulting – What You Must Do To Succeed – Over The Counter Bulletin Board

Tuesday, July 13th, 2010

IPOs and Taking Your Company Public: Why Do Public Companies Fail? There are a few things that one needs to consider when strategizing to take a business public on a major exchange: corporate structure, the speed and efficiency at which the IPO is facilitated, the market creation post public with corporate publicity strategies and investor relations, relationships to secure ongoing financing and finally strategic growth through acquisition.

The corporate structure is the foundation to the company which includes a strong ‘C’ level leadership boasting a pedigree of steeped experience and professional track record.

The board of directors must be seasoned and solid composed of industry specialists in the finance, advisory, legal and distribution sectors of the industry and finally the corporations strategic alliances must be in place and strong to pad the business model and help the company grow.

The speed at which the company achieves a trading symbol is important not only to the company but the seed capital investors who want a rapid turnaround on their investment. The audit, SEC filing, 15c11 and FINRA approval need to be orchestrated by experts to complete this task in a timely manner or this process can crush your company as opposed to enhancing it.

Now that you have your trading symbol you need to create the market. Don’t count on your market maker or broker dealer to do this as they are simply a vessel to complete trades and vouch for your company on the securities level. You need powerful investor relations (IR) and corporate publicity. You should also consider publicity strategies for your ‘C’ level executives to brand them as industry experts to add legitimacy and strength to your presence and market position.

Don’t forget PIPES and other post public securities monetization solutions. These companies can offer a lifeline if you’re company is seeking expansion or acquisition capital. Make sure you get references! The last thing you want is a PIPE firm that gives you a 60% LTV (or less) against your stock and then crucifies your company by dumping the stock, ouch!

If your company is in the correct phase of evolution, growing and ready for that next level, think: OTCBB. It’s fast and relatively affordable and if you’re corporate strategies are in place you could rake in some serious capital fast for your corporate expansion.

Global Consulting Firms, God and Machine Guns: Global Finance and Acid Rain

Tuesday, July 13th, 2010

Strange title I know but how else do you describe what is going on in the global finance scene. With the master weave of God and Country which equal patriotism and prosperity, what happens when it all collapses? Chaos! It would be great to believe that there are a few men in a locked room somewhere who were controlling this economic collapse and in just a matter of time they would flip a switch and it would all be ok again but none of us are nave enough to believe such a backwards conspiracy theory.

The truth is far worse. The world bank creates money starting with digital imprints on a computer screen, a little money to reel in the third world, import western goods that they can’t afford, create a situation of debt and bam, we control another country and blame it on the World Bank and the IMF and all these numbers on a screen take a shape of their own in the minds of the global populace as ‘truth’. By truth I mean the international population accepts these numbers that are nothing more than a digital expression of a think tank drone that has been trained to believe that people are pawns and that government fractions within governments is just the way it is.

But people have lost the confidence in those imaginative numbers on the screen. People have lost hope that there is someone on the other side looking out for their interests to make sure that there are jobs, a paycheck and food on the table.

Mainstream confidence in the economic powers that be is disintegrating like a sugar cube in boiling water. With our military fighting battles on multiple fronts, men, women and children have to fight to keep the governments grimy claws out of their back pockets. The Fed, top tier investment banking gurus and global financial demigods just sit and slobber at senate hearings as they, just as we know that they are all for show. The government will use this to distract global citizens until the next distraction is placed on the board and the underhanded motivations of crooked power players will have their way again.

Between the crumbling of this economic house of cards, absence of God and global warming who can step in and save us? The answer is, good old fashioned entrepreneurialship. You, me and the small business down the street. Stop looking to institutional and governmental solutions. They’ll promise you a dollar and steal your soul.

Entrepreneurs, Whatever You Do . . . Don’t Fall Asleep. Uncle Sam Is Hiding Under Your Bed

Thursday, July 8th, 2010

Lets face it, if you are a small or medium size business owner, the government looks at you and sees dollar signs and instead of words coming from your mouth they just hear ‘cha ching’! Don’t be naive you mean about as much to your local congressman as a slab of road kill to maggots.

They’ll feed off you as long as you’re willing to wear a blindfold and hand out pounds of flesh with yor IRS tax check and make sure you vote on time but don’t have an opinion and if you do have an opinion, keep it to yourself. Today’s politician has about as much integrity as a prison gang leader and zero patience or tolerance to actually digest the needs verbalized by their constituents and if you are a business owner just place your vote and shut up because no one is listening anyway.

Besides, you’re just a robot with your programming card hooked up to talk radio and the news and you’ll believe what the system tells you to. They say that the bailout money is to jump-start the economy and you believed it but now your company is going under, you can’t make payroll and your local senator and congressional rep are MIA.

Wake up, turn your head and cough, now cut your check and shut your mouth. Go back to your dirty little office at your 2005 archaic PC and get to work, Uncle Sam is watching you and you better perform because your tax liabilities are growing, your line of credit is maxed and there is no help in site.

What should you do when you have no one to turn to? Turn and look in the mirror and the solution is that half shaved bloodshot eyed pawn staring back at you. Now pull your shoulders back, pick up that chin and begin to move strategically. For every action there is a reaction and your industry is constantly moving as the government has placed you on a treadmill for the ultimate distraction so that you keep your head down and work without asking questions. But now look up and put a strategy together that will spearhead your growth and stability.

You should look at your fund raising options in a ‘private raise’ sense with an exit strategy that will keep capital flooding your bank account. Investigate the possibility of raising some capital with a Private Placement Memorandum (regulation d) and provide an exit strategy that will have investors flooding your crummy little office, go public on the OTCBB and offer investors the ability to trade without restriction. Now you’re obtaining real power. Next, look at your internal corporate strategy.

Remember, the less organized you are, the more control outside sources have over you because you can’t argue your case in a manner that is conducive to strength. Make sure that your financials are audited once per year, make sure that your company executives are actively seeking strategic alliances on behalf of your company and hold them to a quota. Diversify your product and service offering. Use publicity to advertise instead of traditional ads. Joint venture your promotional campaigns for maximum affect and minimal cash outlay. In these strange economic times you should be streamline, lean and mean. You should evaluate your employees twice per month as on a daily basis they need to earn the right to work for you. Put together a board of directors and qualify them by evaluating their contact base and track record, compensate them in restricted shares and offer some type of annual options. You should also have an advisory board that gets a modest share distribution but primarily uses their advisory board position to gain experience and to build their resume. Set goals for all the members and put it in a Board or advisor contract. Look at the possibility and realistic success of going public and if you go public, choose a solid pre NASDAQ structure such as the OTCBB. In going public your main job at that point is growing and stabilizing your share price with powerful investor relations, PR and growth through acquisitions. You’re on your own, don’t wait on help that will never come. Find a consultant that believes in your concept and can help you build on the foundation you have. Globalize your expansion efforts as opposed to limiting yourself to a minute geographic proximity. Take control of your fate now!

OTCBB – OTC – Over The Counter Bulletin Board

What Is the Process Of Taking A Company Public? Here Are The Answers!

Going public can make or break a company. As long as you are prepared it can be the biggest blessing ever bestowed on your company. Understanding the process can help you decide if this is a direction you’d like to take. Here is the process:

First you’ll need corporate structuring to create a business model that is conducive to raising capital and increasing investor confidence so you’ll need to take a long hard look at your ‘C’ level executives and their educational and professional pedigree and track record, your board of directors capabilities and abilities to contribute with capital connections and strategic alliances.

Second you’ll need to write a business plan that take into consideration a strong business model, financial projections that will stand up to the scrutiny of your SEC auditor and investors who have their investments audited by legal counsel and accountants while simultaneously painting a picture of a solid and viable, and yes, recession proof business model.

Third you will need a PPM to break your company up into shares to distribute to seed capital investors and stay within the SEC Regulation D requirements.

Fourth you’re ready to file your S1 and get into the comments stage. Be prepared to answer questions and be patient. The SE needs to understand your business enough to approve it. Some of their comments are pretty strange but it is what it is. Your best bet is to have a good securities attorney file for you.

Fifth you need your third party audit. This can be a large financial undertaking if your books are a mess and a good auditor can be in and out in around a month.

Sixth after the SEC approval you’ll have your market maker file your 15c211 with FINRA to get your approval and stock symbol.

Lastly, you’ll need a strong post public investor relations strategy to induce investment and calm down those who want to sell their stock. A good IR strategy will also bring into account massive amounts of traditional and viral publicity.

Raise Capital Fast – OTCBB – Global Expansion Consultants

Thursday, July 8th, 2010

Global finance is a convergence of polar opposites. It’s a hybrid element that is the result of merging bankruptcy and profitability and the infusion of the ethically inclined and the ethically obscene.

The obtuse minded institutional banking system and the endless motivational depth of the prototypical entrepreneur clash and a give and take, debt and debtor mentality evolves. This evolution results in the crisis of indentured servitude where the banks will give but will take much more.

The entrepreneur is often stranded without the means for economic defense in difficult times and the FDIC backed lender moves in to take assets whose value are derived by number crunchers in a backroom and the bank’s corporate headquarters.

Business owners will often sign their lives away in order to obtain modest loans and lines of credit, the financial equivalent to signing your soul away to the devil in blood. As a globalization consultant I am constantly hearing from small and medium size companies who have proprietary patents and technology and will put them up as collateral for financing.

I must admit, at times its tempting to facilitate a merger between them and an existing client that will result in instantaneous profitability and distribution for my client and the end for this uninformed startup.

If you are an upstart you need to evaluate your options before signing on that dotted line and giving up a pound of flesh. Banks should only be used as a last resort. Venture capital funds should only be considered if all else fails.

Your key to raising capital is to go directly to the public via vehicles such as a Private Placement Memorandum (Regulation D Rule 504, 505 and 506) which will allow you to sell stock in your company in return for capital and the ultimate in maximum capitalization would be to go public on the OTCBB (Over The Counter Bulletin Board), NASDAQ or NYSE. Even the London Exchange or Frankfurt Exchange are better options then institutional lending sources.

Taking your company public, growth through acquisition and merger and solidifying your public position with a hefty amount of corporate publicity and hardcore investor relations, this is what will get you to the next level.

The Reverse Merger Report – Taking Your Company Public

Thursday, July 8th, 2010

Private Placement Memorandums and Direct Public Offerings, the most common mistakes made. When gearing up to raise capital it is typically a business owners first instinct to simply throw together a business plan and find the cheapest company to put together the private placement memorandum and then seek funding. What these professionals don’t realize is that they are doing things in reverse and often times a PPM is not a standalone solution to financial needs.

The first problem is the most companies will first write a business plan and cheap PPM and look for a capital solutions last, when strategically speaking, one should first find a full service solution who has a database of investors ready to fund properly structured corporations with well authored business plans and private placement memos. After you find a company that has a ready network of seasoned investors you will often find that this firm will also structure your business and documents so that you are able to attract the attention of these investors. Next, don’t make the mistake of hiring just anybody to write your biz plan. You need to find a professional author who is well rooted in the art of technical writing and has a solid comprehension of your industry.

Now it’s time to write the PPM. Here is a warning that will most likely go in one ear and out the other but you must never choose the cheapest service for your PPM you will regret it and this is a guarantee. Investors see these documents all day everyday and they know a template when they see it. Don’t believe for a second that you will get a viable private placement memo that will actually achieve funding for anything less than $3,000; it’s just not going to happen. There is too much work involved in putting a fund-able strategy together and you’ll never find an experienced firm to do it for cheap.

The moral of the story is to first find an investor finder solution with a solid network of investors, second have this company write your business plan and private placement memorandum to fit the needs of their investor base and lastly, talk to this consultant about helping you perform a DPO (Direct Public Offering) to their group. This is what separates the men from the boys in the venture capital consulting industry.

Legitimate consultants who stand behind their work will take your PPM directly to their investor base and help you raise capital quickly. In return for this service the company may want a modest equity position in addition to their fee but it is always worth it and typically they will take the final step and have their investors pay to take your company public. This is the ultimate for any company that is seeking a long term funding solution.

Remember the order: 1. Find an investor finder 2. Have that company write your biz plan and PPM 3. Convince the firm to perform a DPO for fast funding 4. Offer some equity to sweeten the pot so that they take you public!

OTCBB – OTC – Serious Corporate Publicity- Over The Counter Bulletin Board

Thursday, July 8th, 2010

We get calls all day, every day from companies that talk about ‘wanting’ real corporate publicity that will transform their company but few have the stomach for what it really takes and even fewer have the financial dedication it takes to obliterate their competition and take their rightful place at the top of the food chain.

Of course it’s important to cater to the traditional media (TV, radio, newspaper, industry journals, etc) but the genre of publicity that wins every time is viral publicity consisting of video, social and news bookmarks, article submissions, press release submissions and photo/logo sharing sites. The reality is online publicity is where you’re going to completely annihilate your competitors and claim your rightful position.

When you take into consideration the ultra powerful medium and stealth of viral publicity, all other promotional genres cower in comparison. Online your pre public or post public company will claim instant viewers and a cult-like following that TV and radio can’t even remotely compare. Billions of searches take place every day and it is the viral publicists job to do what SEO and traditional publicists can’t do and that is get solid search engine ranking while simultaneously bringing in powerful results that are targeted and strategically placed.

Forget pay per click, it’s a waste of your time. crush everything in your path with viral publicity that claims power positions on the natural search results on all search engines. You must have a solid combination of mediums at use to take control of targeted keywords and industry genres.

So the next time you tell your self-proclaimed publicist or seo agent that you need publicity that will claim your position and deliver virtually instantaneous results for your company, you’ll understand why there is silence on the other end of the line…because they have no clue as to what it takes to get serious results that will rip and shred everything in your path. The powerful combination of viral publicity and massive exposure will force-feed your concept to the willing masses who are pleading with a company in your industry to step up and spoon-feed the very info that your company is offering.

Stop wasting time and money with so called ’solutions’ that don’t work. You need a publicist, investor relations specialist and SEO demigod that will take you by the hand and pave a way for your company to succeed.

Over The Counter Bulletin Board – Take Your Company Public – OTCBB

Sunday, June 27th, 2010

So many companies dream of going public both as a growth and exit strategy but unfortunately few succeed with this process. The third party audit, sponsoring of the S1 and 211 by a market maker and SEC comments stage is just one of the obstacles involved with taking a company public. The attempt at going public and actually achieving a symbol are two entirely different things and if you are lucky enough to achieve a symbol there’s a completely separate area of expertise needed to keep your stock trading and to preserve a company’s longevity in the marketplace.

Here are some things you need to keep in mind when gearing up to take your company public. Forget everything that you’ve read and heard and pay attention to what you’re about to read because this is the straight forward, objective reality of the process. First, do not hire an attorney to take you public as they will take you on a long drawn out process to get as many billable hours as possible, instead, hire a consulting firm whose sole business model is to take companies public and take advantage of the relationships that they have with attorneys. This is the first rule: hire a consulting firm that offers a complete A to Z turn-key solution for taking a company through the process of going public, achieving a symbol and preserving the trade with a solid, ongoing post public investor relations strategy.

Next, when you’ve decided on a consulting firm evaluate their team, don’t ask for references to call to research their track record, better yet, ask for symbols of previous clients and links to the Edgar database to check out current deals in the comments stage. The proof is in the empirical track record, not potentially fraudulent phone references that are easily engineered and BS.

Now look at their team. Make sure that the consulting group has a solid legal team, market makers, investor relations team, auditing group and someone well versed in the comments stage response as this can be one of the major hang-ups in achieving your symbol in a timely manner. Also, most important, they absolutely MUST have a solid group of investors to fund the process for equity and to sell their shares into the marketplace post public to create a market for your stock as well as a network of market makers familiar with your deal to piggyback off of the sponsoring market maker’s 211.

About one month away from symbol achievement you’ll want to meet with your consultants to get a solid IR strategy together for a big offering dbut. You will want to set up a strategy for 30 day IR intensives every other month with general corporate publicity strategies in between. I suggest changing your IR firm each quarter to keep it fresh and open up your trade to a new network of investors.

One special note to consider is that when you are raising your initial round of capital from seed investors, the fastest way to do this is to have a fist full of contracts and purchase orders in hand to strengthen your position and publicize this reality with an arsenal of press releases. Its 100 times easier to raise capital if you are showing seed investors a handful of ’soon to be’ cash than to solicit them empty handed.

Obviously there are a multitude of other issues that you need to take into consideration when going public so find a consulting firm that can help you make it happen. Don’t try to venture out into these waters on your own as you’ll be diving into shark infested waters and you’ll almost certainly fail.
