There is a gargantuan divide between a public company that is exists and thrives. An company that is merely existing has a stock price that is is stabilized by constant promotion and fund raising with every bell and whistle, warrant and promotional gimmick as the company’s business model is not conducive to inner and outer expansion, globalization or general scalability.

The public company that thrives will have an IPO that is both promotional and informative and will show a clear cut and active plan for growth via acquisitions, mergers and both domestic and international alliances. Public companies that thrive will have a team of consultants making introductions, setting up round table meet and greets to introduce and build rapport with funding players and potential partners where there is a strong synergy. The share price for the ‘thriving’ company will be triggered naturally by press releases in combination with promotion to investors by updating current and potential shareholders of these benchmark achievements.

Another massive element that is all together ignored 99% of the companies out there, even thriving public and private entities is the almighty legislative tie-in. Get to know your congressman, senator and all their affiliated groups. Become a permanent fixture at their fundraising events and look for angles that would help create a win/win situation for your political counterpart when his activity wanders into your particular business genre. Offer to consult with them to help them navigate the tepid waters of your industry without making the amateur mistakes of those not completely submerged in the industry. Be their industry expert, adviser then publicize your efforts in a way that helps both you and your political alliance.

Direct Registration S1 – Reverse Merger Failures – Go Public Correctly And Thrive

The dream of taking one’s company public is all too often unrealized when a shell merger or reverse merger concept is used. I say concept because this describes a general tactic as opposed to a strategy personified by a direct registration or S1 filing.

Shortcuts have no place in a public offering as it lacks the results sought by entrepreneurs and demanded by investors and shareholders. Shells for mergers are typically dogs infested with microscopic flees, the struggle for volume and investor retention is constant and you’ll never have the full legitimacy of an S1 as the previous owners organizational baggage will constantly hinder your development as a public entity as the weight of skeletons in the closet will always outweigh your efforts, thus eliminating the results of IR and other promotional tactics for stock traction in the marketplace.

Going public doesn’t have to be painful, all you need is a game plan and experienced agents working on your behalf. If you’re broke get a loan, don’t attempt a public offering. If your company has a proven concept and solid net revenues then going public may be just the fundraising tool you’ve been looking for.

You’ll need several things in order to go public properly; the least of these is: an S1 attorney, market maker, investor relations strategist/facilitator, solid board of directors, professional and well pedigreed CEO and CFO (or proven controller) and ongoing consultants for mergers and acquisition identification, research and facilitation (don’t think you can grow your public entity organically).

Sure a legitimate public offering via S1 takes a little longer but it’s required for a viable and prosperous public lifespan. The difference between going public via S1 and Shell Merger is as blatant as marrying the prom queen and marrying a corpse sure a shell has skin and bones but wouldn’t it be great to have a pulse? Don’t sell yourself short. Go public the right way!

Taking A Company Public – Corporation Preservation Via Competition Control And Deconstruction

As a structuring consultant I’m typically brought into a public company or large private company that is in the middle of a crisis management situation and I become a fixer. My firm will analyze the problem, look at it from multiple objective angles apply various template processes and find a solution to counter the issue at hand. Sounds easy but guess again.

Here is what most corporations that find themselves the center of a hostile takeover or slander situation fail to identify early on, eliminate the problem early. Many times it starts with the firing of an employee or an overly competitive bid for a large contract both have the same stimulants and indicators so the C level executive in charge needs to keep their ear to the tracks to be able to identify the dilemma before it becomes an ‘out of control’ publicity nightmare or takeover situation.

It is crucial to identify these individuals and align oneself accordingly to cripple the trigger before it can explode. Most of the problems that your company will face are in your office right now in the embodiment of an overzealous sales manager who believes he has the intellectual superiority to run your company better than you can, if he’s right, promote him but test him first, if he’s wrong offer him a severance and paint a clear picture as to his non compete and scare the life out of him the day he is terminated by having security walk him through the legal actions that will take place if he/she makes any attempt to use your processes or secrets to the public or competition or defames your firms name in anyway. Next bring in your corporate attorney to do the same, then you come in as the nice guy and gently ask him to take this severance and find a job that will meet all his needs both professional and emotional.

Other tell tale signs of potential issues an employee that seems to have something counterproductive to say about everything, the manager with a bad case of the ‘grass is greener’ syndrome, executives that are too entrepreneurial, you get the idea.

Next, you need a protocol in place to take a proactive approach to counter negative PR. You should have a media specialist on call, updated on your corporate strategies and proprietary processes with a plan ready to go to counter blog defamation and other virtual crimes that can dismantle your company or economic status/market place position.

90% of the problems your company will ever have will come from those who are inside right now. Evaluate your executives that have access to trade secrets or issues that could damage your reputation. Plant a seed early. Find someone and make an example of them and make it public and you’ll find that most potential and damaging issues can be shut down before they start by implementing the above as a start.

Taking My Company Public – Economic Strategies and Political Power Grabs

Corporate strategies and political strategies are similar in many ways and merge in many more as the ultimate goal is recognition for a contribution to economic growth as this is the one power tool that transcends all other contributors to power. The entity recognized for delivering on promises of jobs, capital to a targeted geography or economic certainty is the one that will gain traction regardless of current economic disaster going on around them.

To do this, to be the person that gains a following for their ability to step into a position of power and swim in shallow shark infested waters one must consider the fact that you will be attacked from all angles and your ability to eliminate the factors that are conducive to facilitating these attacks is crucial but do to so and make a massive statement is where the natural genius comes into play. Fact: the most sensitive part of the shark’s anatomy is it’s eyes, surfers and divers that can stay calm when a shark is circling before an attach will immediately go for the eyes of the shark, kick, punch and shred with the fingernails, diver’s knife, whatever they have. This is what the reader must consider when diving into a realm as competitive as obtaining the power in a general corporate or political ‘power grab’.

Don’t waste time on areas of the competitor that won’t have a disastrous affect immediately, a punch to the tail of fin won’t do anything is a shark attach, rip out the eyes and pummel the eye sockets and even if they keep coming they’ll be blind to your position which eliminates their position as a threat.

Know your competition, study them, identify their past affiliates and find out what they were like in the past, dig up dirt but don’t address them directly as this will make it too clear as to where the negative press is coming from, instead use a cat’s paw, third party to deliver the bad news. This third party should be completely none affiliated with you or your company and the information should be issued to them by a non affiliated messenger.

Find out where they sensitive points on the ‘mark’ reside. Is it voting record? Pump and Dump schemes with other public companies? Is it a politician without a pedigree making them a lap dog to the established politicians who just use them as a vote? Who are they taking campaign money from? Who has the CEO elected as CFO or CFO and is there a blatant demonstration of misjudgment etc.?

The obligatory power grab is like offering an ice cold bottle of water to a group of 100 lost trekkers in the desert, they will use every advantage and fight as dirty as they have to in order to achieve ownership of this prized item.

Don’t bring a slinky to a fist fight, bring a steel pipe, don’t go to war with paper planes and silly putty, use remote controlled drones that will be able to inflict massive damage from afar. Don’t enter into a political or power grab without the right support and names backing you or it will be disastrous.

Institutional Bankers Political Blood Letting and The Demons Beneath Your Bed: It’s More Real Than You Think

Think back to when you were a child and your imagination was developing? You’d hear a bump from your closet or your eyes would play tricks on you as you swore you could see something slithering under your bed when the hallway light was turned off or when you’d creep, with back to the wall to the bathroom in the middle of the night and you could feel the energy of something staring at you from the opposite end of the hall’s expanse, you look up and sure enough you’d see a cast shadow made visible by the glow of a full moon peering through the window.

These recollections make us laugh as we mature and realize that is a perfectly straight forward reason for that shadow or rattling pipe etc. But this day in age it’s no longer the spooky ‘Scooby Doo’ style ghosts and goblins that haunt the dreams of our children. Instead, it’s the reality of state Marshals and Cops breaking into their home in the middle of the night to enforce a foreclosure eviction or a politician signing a bill that will strip them of their rights or the reality that when they get out of college they will immediately have a multi trillion dollar bill to pay because of today’s liberal welfare and social security misspending by politician snakes that slither around their room at night just waiting for the right time, when their guard is down, to strike.

The nightmare for our children is no longer a figment of an overgrown imagination. It’s all too real. How can we bring that innocence back into the dream space of our youth? For starters, take control of your career, step away from large corporations and get involved with the entrepreneurial small and medium size businesses in strong growth industry such as: alternative energy, technology, global distribution facilitation etc. If you are a business owner, don’t hook up an IV to the arm of your infant and sell your soul to the devil by taking a loan to grow your business. Institutional lenders backed by crooked and unqualified politicians will see to it that your company can not meet the terms and your business expansion loan will go delinquent and the IV will star sucking the life out of your offspring and all the gifts of a profitable company yielding a good college education, comfortable transition from university into a career, help with a down payment on a home and other competitive advantages that you want to provide and that your children deserve will go up in smoke while the fat cat politicians and institutional lenders laugh at you and move on to the next easy prey.

Stop and think before you fill out that bank loan application. Don’t put up your home as collateral for a business loan. Don’t take away from your children what should be theirs. Instead, do what the wealthy do, grow your company by creating opportunity for others to make money off of your business concept and track record. Even if you’re a small business making $2M per year, you can take your company public on the OTCBB. The OTCBB (Over The Counter Bulletin Board) is the spring board toward the possibility of a NASDAQ qualification but not necessarily a mandatory move to grow your company. The OTCBB is a trusted, solid exchange with respectable and consistent trading volume where you have access to all the growth capabilities of the industry big boys. You can cross collateralize your securities so you don’t have to personally sign for loans, you can purchase companies to grow quickly using your stock as currency. Bring on prize executives to help you grow your company by offering them stock in the company as they reach certain benchmark goals.

Step away from government lies that will damage the future of your children and banking contracts that will almost surely crucify your company as it’s slowly sucked into Hades like a diamond sinking into a bubbling tar pit. Taking Company Public And Stay Away From Politicians: Like Spiders Spinning Cocoons Around Your Kids

When I turn on the TV I’m bombarded with images of senate hearings, global finance leaders, hedge fund CEOs and of course the do nothing politicians we pay to protect us. And when I see them now, I no longer see them as humans like you and me. They are an entirely separate specie. Worse than vampires they feed off of the existence of you, me and our children.

These power players are nothing more than spiders spinning cocoons around our souls and sucking the life out of us all. Before your children have a chance to choose an occupation, university or spouse, these cancerous imps have already begun to roll your child in a paralyzing cocoon tomb where they will proceed to slowly gnaw away at their very essence.

You and I are to blame because we just sit there and watch the idiot box while it all happens. The same banking institutions that are taking our tax dollars to fund multimillion dollar CEO salaries are the ones we go to in order to cash our weekly paychecks. The same crooked, do nothing politicians that rob us blind and are on the take are the people we vote for to keep in office. Wealth management advisers that we trust to take our money and invest so that we can live a few years after the government is through with us are brokering their fund to Madoff con artists and back stabbers.

We say we want change, we though Obama was it but it’s obvious he’s just another hand puppet whose actions are paid off by special interest groups and big oil imps. If you’re a business owner and are serious about change, take your fate into your own hands. When you are looking for funding, stop using banks and institutional succubi.

Take your company to the people with a private placement memorandum or take your company public on the OTCBB. If you have a good business model, then raise money by allowing the populace to profit off of your process. You’d be shocked how quickly you raise money when you offer opportunity to people who are looking for it.
